Selling a business in Rhode Island

A large pool of owners. A buyer market that rewards preparation.

Rhode Island is home to about 116,149 small businesses, which employ 51.1% of the state’s employees, according to the U.S. Small Business Administration. Rhode Island's small business base is led by professional, scientific and technical services, followed by transportation and warehousing, construction, real estate and rental, and other services, which together cover most owner-run service and trade firms. Small businesses employ just over half of the state's workforce, a share above the national average.

Many of those owners are reaching retirement age, and well-run companies with transferable earnings continue to attract individual buyers, strategic acquirers and private investors. Owners who understand their value and prepare before going to market tend to negotiate from a stronger position.

Vision Fox works with owners in Providence, Cranston, Warwick and Pawtucket and across Rhode Island, entirely by phone and video, so your plans stay confidential close to home.

State steps to plan for

What Rhode Island requires when a business changes hands.

Tax clearances and notices can affect the closing timeline and who is responsible for unpaid taxes. Building them into the plan early avoids last-minute delays.

Vision Fox coordinates these steps with your CPA and attorney, who should confirm the requirements for your specific transaction.

Rhode Island at a glance

  • When a business sells or transfers the major part of its assets outside the ordinary course of business, it must notify the RI Division of Taxation at least five business days before the sale, giving the price, terms and the type and location of the assets; it does this by requesting a Letter of Good Standing ($50 fee). The covered state taxes become due when the Division is notified, required returns must be filed, and the Division issues the Letter of Good Standing once returns are filed and taxes paid. A sale made without this notice is void as against the state. Sales by receivers, bankruptcy trustees, assignees for the benefit of creditors and officers acting under court process are excluded.
  • Rhode Island's casual-sale regulation lists a bulk sale of business assets as an exempt casual sale, but for a retailer only once its permitted retail business has ceased; a retailer selling used business equipment while still operating is taxable.
