Selling a business in New Mexico

A large pool of owners. A buyer market that rewards preparation.

New Mexico is home to about 172,113 small businesses, which employ 53.3% of the state’s employees, according to the U.S. Small Business Administration. New Mexico's economic development department targets aerospace, intelligent manufacturing, sustainable energy, value-added agriculture, cybersecurity, film and outdoor recreation. Owner-led employment centers on health care, hospitality, construction, retail, professional services and other services (repair and personal services).

Many of those owners are reaching retirement age, and well-run companies with transferable earnings continue to attract individual buyers, strategic acquirers and private investors. Owners who understand their value and prepare before going to market tend to negotiate from a stronger position.

Vision Fox works with owners in Albuquerque, Las Cruces, Santa Fe and Farmington and across New Mexico, entirely by phone and video, so your plans stay confidential close to home.

State steps to plan for

What New Mexico requires when a business changes hands.

Tax clearances and notices can affect the closing timeline and who is responsible for unpaid taxes. Building them into the plan early avoids last-minute delays.

Vision Fox coordinates these steps with your CPA and attorney, who should confirm the requirements for your specific transaction.

New Mexico at a glance

  • Under Section 7-1-61 NMSA, a buyer can be liable for the seller's unpaid gross receipts, withholding and corporate income/franchise taxes unless a tax clearance is obtained from the Taxation and Revenue Department. The seller, buyer or an agent may file Form ACD-31096 (Tax Clearance Request). Until the clearance arrives, the buyer must hold enough of the price in trust to cover the tax due. The Department has 30 days from a complete request (60 if an audit is needed) to issue the clearance or a notice of tax due, and if it misses that deadline the buyer is released from the withholding duty.
