Selling a business in Missouri
A large pool of owners. A buyer market that rewards preparation.
Missouri is home to about 590,131 small businesses, which employ 44.4% of the state’s employees, according to the U.S. Small Business Administration. Missouri's small-business employment is spread across health care, hospitality, construction, retail and manufacturing, giving two large metros plus regional hubs a solid base of contractors, light industrial shops and service companies.
Many of those owners are reaching retirement age, and well-run companies with transferable earnings continue to attract individual buyers, strategic acquirers and private investors. Owners who understand their value and prepare before going to market tend to negotiate from a stronger position.
Vision Fox works with owners in St. Louis, Kansas City, Springfield and Columbia and across Missouri, entirely by phone and video, so your plans stay confidential close to home.

State steps to plan for
What Missouri requires when a business changes hands.
Tax clearances and notices can affect the closing timeline and who is responsible for unpaid taxes. Building them into the plan early avoids last-minute delays.
Vision Fox coordinates these steps with your CPA and attorney, who should confirm the requirements for your specific transaction.
Missouri at a glance
- Missouri applies successor liability to both sales tax (RSMo 144.150) and employer withholding tax (RSMo 143.241). A seller selling all or substantially all of the business must request a statement or certificate of no tax due from the Department of Revenue, give it to the buyer before closing and get the buyer's signed receipt, or face a 25% penalty; the seller also files a final sales tax return within 15 days. Until the buyer receives a no-tax-due certificate, it must withhold enough of the price to cover unpaid taxes or become personally liable. The Department must answer within 15 business days (sales tax) or 15 days (withholding), a sales tax certificate can be relied on for 120 days, and the seller requests clearance on Form 943 by mail (or, if only sales tax was collected, a Certificate of No Tax Due by email or mail).
