Selling a business in Massachusetts
A large pool of owners. A buyer market that rewards preparation.
Massachusetts is home to about 756,096 small businesses, which employ 44.7% of the state’s employees, according to the U.S. Small Business Administration. Massachusetts small businesses employ the most people in health care, hospitality, professional and technical services, construction and retail, reflecting a knowledge-heavy economy with strong demand for B2B and skilled-trade service firms.
Many of those owners are reaching retirement age, and well-run companies with transferable earnings continue to attract individual buyers, strategic acquirers and private investors. Owners who understand their value and prepare before going to market tend to negotiate from a stronger position.
Vision Fox works with owners in Boston, Worcester, Springfield and Cape Cod and across Massachusetts, entirely by phone and video, so your plans stay confidential close to home.

State steps to plan for
What Massachusetts requires when a business changes hands.
Tax clearances and notices can affect the closing timeline and who is responsible for unpaid taxes. Building them into the plan early avoids last-minute delays.
Vision Fox coordinates these steps with your CPA and attorney, who should confirm the requirements for your specific transaction.
Massachusetts at a glance
- Under M.G.L. c. 62C, s. 44, when a vendor liable for sales or use tax (chapters 64H and 64I) sells its business or stock of goods, the buyer must hold back enough of the price to cover that liability until the seller produces a Department of Revenue certificate showing it is paid or nothing is due; a buyer who fails to withhold is personally liable up to the purchase price. If the buyer requests a certificate in writing, DOR has 90 days to issue it or mail a notice of the amount due, or the buyer is released from the withholding duty. Separately, a corporation planning to sell or transfer its assets can request a Waiver of Corporate Tax Lien (c. 62C, s. 52) through MassTaxConnect or on DOR's paper request form, which can take 4-6 weeks.
- Massachusetts regulation 830 CMR 64H.6.1 treats the sale of a business in its entirety by the owner as an exempt casual and isolated sale, except for any motor vehicles, trailers, boats or airplanes included, which remain subject to tax.
