Selling a business in Alabama

A large pool of owners. A buyer market that rewards preparation.

Alabama is home to about 465,610 small businesses, which employ 46.0% of the state’s employees, according to the U.S. Small Business Administration. Alabama's small firms employ the most people in health care and social assistance, food service and hospitality, and retail, which makes established service businesses a large part of the owner-led market across the Birmingham, Huntsville, Mobile and Montgomery regions.

Many of those owners are reaching retirement age, and well-run companies with transferable earnings continue to attract individual buyers, strategic acquirers and private investors. Owners who understand their value and prepare before going to market tend to negotiate from a stronger position.

Vision Fox works with owners in Birmingham, Huntsville, Mobile and Montgomery and across Alabama, entirely by phone and video, so your plans stay confidential close to home.

State steps to plan for

What Alabama requires when a business changes hands.

Tax clearances and notices can affect the closing timeline and who is responsible for unpaid taxes. Building them into the plan early avoids last-minute delays.

Vision Fox coordinates these steps with your CPA and attorney, who should confirm the requirements for your specific transaction.

Alabama at a glance

  • Under Ala. Code 40-23-25, a seller who sells the business or its stock of goods must file a final sales tax return within 30 days of the sale. The buyer must hold back enough of the purchase price to cover unpaid sales tax until the seller produces an Alabama Department of Revenue receipt or a certificate showing no tax is due. A buyer who does not withhold becomes personally liable for the seller's sales tax still unpaid after that 30-day window. The Department says the same successor rules reach use tax (Code 40-23-82) and that a seller's certificate of good standing from the Department removes the holdback requirement.
