Selling a business in New Jersey
A large pool of owners. A buyer market that rewards preparation.
New Jersey is home to about 1.1 million small businesses, which employ 48.8% of the state’s employees, according to the U.S. Small Business Administration. Choose New Jersey highlights life sciences, technology, advanced manufacturing (over 2,500 manufacturers, many of them small machine shops), logistics and distribution, food and beverage, and financial services. Health care, hospitality, professional and technical services, retail and construction are the largest small-business employers.
Many of those owners are reaching retirement age, and well-run companies with transferable earnings continue to attract individual buyers, strategic acquirers and private investors. Owners who understand their value and prepare before going to market tend to negotiate from a stronger position.
Vision Fox works with owners in North Jersey, South Jersey, Trenton-Princeton and Atlantic City and across New Jersey, entirely by phone and video, so your plans stay confidential close to home.

State steps to plan for
What New Jersey requires when a business changes hands.
Tax clearances and notices can affect the closing timeline and who is responsible for unpaid taxes. Building them into the plan early avoids last-minute delays.
Vision Fox coordinates these steps with your CPA and attorney, who should confirm the requirements for your specific transaction.
New Jersey at a glance
- Under New Jersey's bulk sale law (N.J.S.A. 54:50-38), the buyer, or the buyer's attorney, must send the Division of Taxation Form C-9600 (Notification of Sale, Transfer, or Assignment in Bulk) with the sale contract. The Division must receive them at least 10 business days before closing, by registered, certified or overnight mail. Within 10 business days the Division replies with a clearance letter or an escrow amount, which the buyer holds back from the price until the seller's taxes are cleared. If the buyer gives late or no notice, or fails to hold the escrow, the buyer becomes liable for the seller's state tax debts.
